1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", "your") and Imum, UAB ("RightPrice", "we", "us", "our") governing your use of the RightPrice service (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

3. Service Description

RightPrice is a competitive pricing intelligence platform for Shopify merchants that provides:

  • Integration with your Shopify store
  • Product matching with market data
  • Competitive price tracking from major retailers
  • Pricing recommendations and analytics
  • One-click price updates to Shopify

3.1 Service Availability

We strive to provide a reliable service but do not guarantee:

  • Uninterrupted access (99.9% uptime target, no SLA)
  • Error-free operation
  • Specific results or business outcomes
  • Accuracy of third-party market data

3.2 Beta Features

Some features may be marked as "Beta". Beta features are:

  • Provided on an experimental basis
  • May be changed or discontinued without notice
  • May contain bugs or limitations
  • Not covered by any warranties

4. Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Operate a legitimate Shopify store
  • Provide accurate registration information
  • Comply with all applicable laws

5. Account Registration

5.1 Account Creation

You must:

  • Provide accurate, complete, and current information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

5.2 Shopify Integration

By connecting your Shopify store, you authorize us to:

  • Access your Shopify store data via Shopify API
  • Read your product information
  • Update product prices when you approve changes
  • Receive webhook notifications for product updates

5.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

6. Subscription and Payment

6.1 Subscription Plans

We offer monthly and annual subscription plans with different feature tiers. Pricing is displayed on our website and in your account dashboard.

6.2 Free Trial

If a free trial is offered:

  • Trial duration and terms are specified at sign-up
  • No payment is required during the trial
  • Your subscription begins when the trial ends unless you cancel
  • Cancel any time during the trial to avoid charges

6.3 Payment Terms

  • Payments are processed by Stripe
  • Subscriptions are billed in advance (monthly or annually)
  • Prices are in GBP or EUR as selected
  • All fees are exclusive of applicable taxes (VAT)
  • VAT will be charged at the applicable rate for your location

6.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

6.5 Price Changes

We may change subscription prices with:

  • 30 days' notice for existing customers
  • Changes apply at your next renewal date
  • Right to cancel before the increase takes effect

6.6 Failed Payments

If a payment fails:

  • We will attempt to charge your payment method multiple times
  • We will notify you via email
  • Access may be suspended after 7 days
  • Account may be terminated after 14 days

6.7 Refund Policy

30-Day Money-Back Guarantee:

  • Full refund available within 30 days of first payment
  • Applies to first subscription purchase only
  • Request refund by emailing support@rightprice.app
  • Refunds processed within 5-10 business days

After 30 Days:

  • Refunds are generally not provided
  • Exceptions may be made at our sole discretion for:
    • Service outages exceeding 72 consecutive hours
    • Material breach of Terms on our part
    • Technical issues preventing service use

No Refunds For:

  • Partial subscription periods
  • Cancellations mid-billing cycle
  • Change of mind after 30-day period
  • Business results or pricing decisions

7. Use of the Service

7.1 Permitted Use

You may use the Service only for:

  • Managing pricing for your own Shopify store(s)
  • Legitimate business purposes
  • Compliance with all applicable laws

7.2 One Store Per Account

Each subscription covers one Shopify store. To use multiple stores, you must:

  • Purchase separate subscriptions, or
  • Upgrade to a multi-store plan (if available)

Account sharing between stores is prohibited.

7.3 Prohibited Use

You may not:

  • Share your account credentials
  • Use the Service for another party's store without authorization
  • Scrape, copy, or reverse engineer the Service
  • Circumvent usage limits or restrictions
  • Use the Service for illegal activities
  • Attempt to gain unauthorized access to our systems
  • Interfere with the proper operation of the Service
  • Use automated tools to create accounts or access the Service
  • Resell or redistribute the Service
  • Remove or obscure any proprietary notices

7.4 API Rate Limits

  • Maximum 1000 API requests per hour per account
  • Excessive usage may result in temporary throttling
  • Persistent abuse may result in account suspension

8. Pricing Recommendations and Liability

8.1 Nature of Service

RightPrice provides pricing recommendations and market intelligence only. We do not:

  • Make pricing decisions on your behalf
  • Automatically change your prices without your approval
  • Guarantee any business outcomes or results

8.2 Your Responsibility

You are solely responsible for:

  • All pricing decisions for your products
  • Reviewing and approving any price changes
  • Compliance with pricing laws and regulations
  • Impact of pricing on your business
  • Monitoring your profit margins
  • Ensuring prices cover your costs

8.3 No Warranty of Accuracy

We strive to provide accurate market data, but we do not warrant:

  • Accuracy of competitive pricing data
  • Completeness of market information
  • Suitability of pricing recommendations
  • Real-time accuracy of third-party data

Market data is provided by third-party sources and may contain errors, delays, or omissions.

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We shall not be liable for any:

  • Business losses resulting from pricing decisions
  • Lost profits or revenue
  • Lost sales or business opportunities
  • Damage to reputation
  • Loss of data
  • Indirect or consequential damages

Our total liability is limited to:

  • €100 EUR or
  • The amount you paid in the 12 months before the claim
  • Whichever is greater

This limitation applies regardless of the form of action (contract, tort, negligence, etc.).

8.5 Liability Exceptions

The above limitations do not apply to:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded by law

9. Intellectual Property

9.1 Our IP

All rights, title, and interest in the Service, including:

  • Software, code, and algorithms
  • Trademarks, logos, and branding
  • Documentation and content
  • Design and user interface

are owned by us or our licensors and are protected by intellectual property laws.

9.2 Your Data

You retain all rights to your:

  • Product data
  • Customer information
  • Shopify store content
  • Business information

9.3 License to Us

You grant us a limited license to:

  • Access and process your Shopify data to provide the Service
  • Store and analyze your data
  • Display your data in your account
  • Use anonymized, aggregated data for service improvement

This license terminates when you delete your account.

9.4 Feedback

If you provide feedback, suggestions, or ideas, we may use them without obligation or compensation to you.

10. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy.

We are GDPR compliant and protect your data in accordance with EU data protection laws.

10.1 Data Processing Agreement

By using the Service, you agree that we may process your data as described in our Privacy Policy. For enterprise customers, a separate Data Processing Agreement (DPA) is available upon request.

11. Term and Termination

11.1 Term

These Terms remain in effect while you use the Service.

11.2 Cancellation by You

You may cancel your subscription at any time:

  • Via account settings: Settings > Subscription > Cancel
  • By emailing support@rightprice.app
  • Cancellation takes effect at the end of the current billing period
  • No refund for the remaining period (except within 30-day guarantee)
  • Access continues until the end of the paid period

11.3 Termination by Us

We may suspend or terminate your account if you:

  • Breach these Terms
  • Use the Service fraudulently
  • Fail to pay fees
  • Engage in prohibited activities
  • Pose a security risk

We will provide notice when possible, but may terminate immediately for serious violations.

11.4 Effect of Termination

Upon termination:

  • Your access to the Service ceases immediately
  • Your data is retained for 180 days, then permanently deleted
  • Shopify integration is disconnected
  • Unpaid fees remain due
  • Provisions surviving termination remain in effect

11.5 Data Export

Before termination, you should export your data from your account dashboard. After 180 days, data is permanently deleted and cannot be recovered.

12. Warranties and Disclaimers

12.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

12.2 Disclaimers

WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • TITLE
  • ACCURACY
  • RELIABILITY

12.3 No Guarantee

We do not guarantee that the Service will:

  • Meet your requirements
  • Be uninterrupted or error-free
  • Provide specific business results
  • Be compatible with all systems

13. Indemnification

You agree to indemnify, defend, and hold harmless Imum, UAB, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your pricing decisions
  • Your Shopify store operations
  • Infringement of third-party rights

14. Third-Party Services

14.1 Shopify

The Service requires integration with Shopify. Your use of Shopify is governed by Shopify's Terms of Service.

14.2 Other Integrations

We may integrate with other third-party services. Use of such services is governed by their respective terms.

14.3 No Endorsement

We do not endorse, warrant, or assume responsibility for third-party services, products, or websites.

15. Modifications to the Service

We may:

  • Modify, update, or discontinue features
  • Add new features or services
  • Change the Service's functionality

We will provide reasonable notice of material changes when possible.

16. Modifications to Terms

We may modify these Terms:

  • By posting updated Terms on our website
  • With notice via email for material changes
  • Updates take effect 30 days after notification

Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service and cancel your subscription.

17. Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of the Republic of Lithuania, without regard to conflict of law principles.

17.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of Vilnius, Lithuania for resolution of any disputes.

17.3 Informal Resolution

Before initiating formal proceedings, we encourage you to contact us at support@rightprice.app to attempt informal resolution.

17.4 EU Online Dispute Resolution

EU customers may access the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr

18. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision is modified to be enforceable to the maximum extent possible.

19. Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

20. Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any successor or affiliate without restriction.

21. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Imum, UAB regarding the Service.

22. Force Majeure

We are not liable for failure to perform obligations due to causes beyond our reasonable control, including:

  • Natural disasters
  • Acts of war or terrorism
  • Government actions
  • Internet outages
  • Third-party service failures

  • In-app notifications

By using RightPrice, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
